WebDesigns by Shirley reserves the right to refuse any contract for services for any reason or for no reason at all.
1. Ownership and intellectual property issues:
The layout and any original graphic designs by WebDesigns by Shirley, remain the sole copyright of WebDesigns by Shirley, until final payment is received for the site.
WebDesigns by Shirley retains the right to any prior intellectual property that it owns that is used on the site, and can be used on other future sites without notification.
WebDesigns by Shirley will not infringe or violate the copyright and other intellectual property rights of third parties.
Any and all information provided to WebDesigns by Shirley will be under the express control of the contracting business or person and not that of WebDesigns by Shirley. The contracting business or person, further is responsible for the accuracy of the information provided and will not hold WebDesigns by Shirley responsible for any misstatements or false advertising. The contracting business or person will be responsible for securing permission, licenses, and/or clearances for any copyright material to be used or otherwise incorporated in the website. It is illegal to use copyrighted material on a web page without permission by the entity holding the copyright.
A copyright notice will be displayed on designated parts of the web site.
2. Development Process and Payment Policy:

Upon receipt of signed contract, the contracting business or person will be contacted by WebDesigns by Shirley for a consultation concerning how many pages are desired, overview of what will be contained on the site, desired page layout, and what colors, textures and fonts to be used on the site.
A deposit fee of 50% of the estimated cost of the site by the contracting business or person to WebDesigns by Shirley will be required before work on the site is started. The estimated cost does not include any unforeseen expenses that might occur in the completion of the site. The contracting business or person will be notified before work involving extra expense is done for approval. Failure to respond to the notification of extra expense within ten (10) business days will be interpreted as approval for extra expense work. Make money order or certified check payable to Shirley Farr. This deposit is non-refundable.
Upon receipt of the deposit, a template of a page layout will be made within ten (10) business days and the contracting business or person will be contacted by e-mail concerning the location of the template. The contracting business or person will then have five (5) business days to either approve or disapprove the layout. If there is inactivity by the contracting business or person after five (5) business days, the project will be taken out of active queue. The contracting business or person will be required to pay $50 U.S. to have the project placed back into active queue.
Upon approval of the template of page layout, the contracting business or person will be responsible for providing all text and non-custom made graphic content. If there is a two (2) week period of inactivity on the site, due to waiting for input from the contracting business or person, the project will be taken out of active queue. The contracting business or person will be required to pay $50 U.S. to have the project placed back into active queue.
Content added to the layout will be done in a timely manner. Time needed for the completion of the addition of the content to the site will be determined upon receipt of the content by WebDesigns by Shirley and the contracting business or person will be notified concerning the time frame for the completion of the site.
There will be a period of five (5) business days after site completion for a joint beta testing of the site and a subsequent "acceptance testing" period during which the contracting business or person may evaluate the site to make sure the site functions as anticipated. There will be no additional charges during this period for any grammatical, failed link or bug corrections.
The remaining cost of the site, including any additional costs, will be due within
thirty (30) days after the acceptance testing period. Final payment is to be made by Money Order or Bank Certified Check. No personal checks are accepted for final payment. Make money order or certified check payable to Shirley FarrThe copyright for the site, layout and graphics, will then be transferred to the contracting business or person within two (2) weeks after receiving final payment. WebDesigns by Shirley will then upload the contracting business or person's site to desired web host.
WebDesigns by Shirley will register the site with the appropriate search engines. WebDesigns by Shirley cannot be held responsible for acceptance or non-acceptance of the site, or the ranking given to the site, by the search engines.
Charges for any corrections or changes after uploading, will cost contracting business or person $10 U.S. per page.
3. Covenants of WebDesigns by Shirley:
WebDesigns by Shirley, will not, during development of site, or thereafter, use the site owner's trademarks, service marks or logos, except with the site owner's express written approval.
WebDesigns by Shirley, will comply with all applicable laws in connection with its activities.
4. Confidentiality:
WebDesigns by Shirley will keep all confidential or proprietary information that it learns about the
contracting business or person's company, organization, operating system, passwords or information about visitors to the site, strictly confidential, and not use such information other than in connection with WebDesigns by Shirley obligations.5. Maintenance:
If so desired, the contracting business or person may elect to have WebDesigns by Shirley maintain and update site, for additional fee of $35 per month. The information, supplied by the contracting business or person, will be updated, unless otherwise notified, within three (3) business days, but shall not exceed more then once a week.
Maintenance of a web site will be for a three (3) month period which will be billed monthly. After the three (3) month period, the business or person may continue to contract with WebDesigns by Shirley for three (3) additional months for web site maintenance under the terms of the original contract.
After a total of six (6) months under the original contract from the date of signing, WebDesigns by Shirley may renegotiate the costs for any future maintenance.
All payments for site maintenance is due by the tenth (10th) of each month.
6. Miscellaneous:
WebDesigns by Shirley does not warrant that the functions contained in the contracting business or person Internet Web site (designed as specified) will meet the contracting business or person requirements or that the operation of the Web pages will be uninterrupted or error free. The entire risk as to the quality and performance of the Web pages and Web site is with the contracting business or person. In no event will WebDesigns by Shirley be liable to the contracting business or person or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these Web pages or Web site, even if WebDesigns by Shirley has been advised of the possibility of such damages.
The contracting business or person understands that any Internet Service Provider (ISP) and/or a Web Host services require a separate contract with the ISP and/or a Web Host of the contracting business or person choice.
There will be no site development or maintenance work done on Sundays by WebDesigns by Shirley.
This contract can only be amended in writing.
